The Regular Meeting of the Board of Directors of the Southern Black Hills Water System was held at the Sentinel Federal Credit Union, Custer, South Dakota on Thursday, February 27, 2020.
President Wick called the meeting to order at approximately 1:00 p.m.
ROLL CALL– The following Board Members were present: Wick, Smith, Peplinski, Zolnowsky, Baird, Seaboldt, Beard, DeFries and Kraus. Others in attendance was Don Peterson.
AGENDA – Motion by Peplinski, 2nd by Baird to approve the agenda. Motion passed unanimously.
MINUTES - Motion by Smith, 2nd by Beard to approve the minutes of the Regular Meeting of January 23, 2020. Motion passed unanimously.
TREASURER’S REPORT – Don Peterson presented the treasures report for January. The report was reviewed by the board members. Motion by Baird, 2nd by Kraus to approve the January report as read. Motion passed unanimously
OLD BUSINESS - None
Managers’ Report
Don Peterson reported that the 2017-2018 audit will be finished soon and the audit for 2019 will begin.
Don Peterson informed the board that the IRS was imposing a $5000 penalty for the late filing of the Form 990 for the tax period ending December 31, 2018. This was due to our former CPA firm not filing the Form 990 on time and who is no longer our CPA. Due to the transition time to our new CPA, the form was late in filing. If this penalty is not abated, we request such abatement under the IRS First Time Penalty Abatement policy.
Don Peterson reported on the Spring Creek Professional Engineering Report and that Longbranch Engineering is working on the Report at this time.
Don Peterson provided the Board with a Manganese in Drinking Water Report for their information. The report form SD Department of Environment and Natural Resources discusses Manganese in drinking water sources.
NEW BUSINESS -
Don Peterson provided a copy of the Custer County Chronicle on the Hermosa City Council motion to have their lawyer draft letter expressing their concern over SBHWS’ activities in the area. Don is waiting for the letter and will bring it to the board when received.
Don Peterson provided the Board with a Fleet Shield Services agreement from RDO to service our generators. After review, Kraus made a motion to accept the Annual Inspection part of the package, 2nd by Beard. Motion passed unanimously.
Executive Session
Motion by Beard, 2nd by Smith to go into executive session at 2PM.
Motion by Baird, 2nd by Seaboldt to come out of Executive session at 2:15PM.

The next meeting of the Southern Black Hills System Board will be March 26, 2020, 1:00 PM at Sentinel Federal Credit Union in Custer.
ADJOURNMENT - Motion by Beard, 2nd by Baird to adjourn the meeting at approximately 2:30 PM. Motion approved unanimously.
