The Regular Meeting of the Board of Directors of the Southern Black Hills Water System was held at the Crazy Horse Monument Thursday, October 28, 2021.
Chairman Wick called the meeting to order at approximately 1:00 p.m.
ROLL CALL– The following Board Members were present: Wick, Zolnowsky, Baird, Kraus, Krump, Smith, Seaboldt and DeFries. Beard was absent. Others in attendance were Don Peterson and Talbot Wieczorek.
AGENDA – Motion by Baird, 2nd by Kraus to approve the agenda. Motion passed unanimously.
MINUTES - Motion by Zolnowsky, 2nd by DeFries to approve the minutes of the Regular meeting of September 23, 2021. Motion passed unanimously.
TREASURER’S REPORT – Don Peterson presented the treasures report for October. The report was reviewed by the board members. Motion by Krump, 2nd by Kraus to approve the treasures report. Motion passed unanimously. The check sequence ending September 30 was check #3908 and beginning October 1 check #3909.
OLD BUSINESS –
The SBHWS Annual meeting will be continued on Thursday December 9th at 6:30. Rich Krump has submitted a Board petition. Bob Seaboldt and Danny DeFries will be appointed to the Board.
Talbot Wieczorek submitted to the board a new proxy form. After discussion on the Proxy form, Baird moved to approve the form, 2nd by Krump. Motion passed unanimously. The new Proxy form will be sent out in the next billing.
Talbot Wieczorek submitted a draft SBHWS to Forest Service letter to the Board. After discussion, Kraus made a motion to have the letter signed by Ted Wick after changes and forward it to the Forest Service. 2nd by Smith. Motion passed unanimously.
Managers’ Report Don Peterson informed the board that a Representative position to the SDARWS class B is open. If anyone is interested in serving on the board to contact Don for more information.
Don Peterson provided a letter to the board from the SDARWS dtd October 4th addressing Infrastructure Funding for Rural Water Systems. Don discussed the letter with the board and how funding could be allocated.
Don Peterson reported on Lot 35 of the Desperado development. There is currently a tap on the property and will remain there with no reconnection charge to the fire department if the fire department builds a building there and uses the tap. If lot 35 is sold at any time, the new owners would be assessed a reconnection fee. Motion by DeFries, 2nd by Zolnowsky to put into effect the preceding guidance. Motion passed unanimously.
NEW BUSINESS
Don Peterson reported on the SDARWS conference to be held on January 11-13 2022 in Pierre and the SDARWS leadership Seminar to be held on November 17-18, 2021 in Pierre. Any of the board members who plan on attending will need to contact Don for more information and get registered and have motel reservations made.
Kraus made a motion to move into Executive Session 2nd by Smith. Motion passed unanimously.
Kraus made a motion to move out of Executive Session 2nd by DeFries. Motion passed unanimously.
A motion was made by Baird to authorize SBHWS to move forward on the lawsuit against Hermosa. 2nd by Kraus. Motion passed unanimously.

UPCOMING MEETINGS
The next meeting of the Southern Black Hills System Board will be November 18, 1:00 PM at the Crazy Horse Monument in Custer.
ADJOURNMENT - Motion by Krump, 2nd by Kraus to adjourn the meeting at approximately 3:45 PM. Motion approved unanimously.
